TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the website located at www.sunstead.net (the “Site”) and any associated services provided by Sunstead LLC, a Virginia limited liability company (“Sunstead,” “we,” “us,” or “our”). By creating an account, accessing or using the Site, or purchasing software apps through the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

1. Definitions

“Account” means your registered user account.
“App” means any software application available for purchase via the Site.
“Content” means any text, images, graphics, or other materials uploaded or posted by users (note: current Site does not permit user-created Content).
“Purchase” means a one-time payment transaction for an App.
“Stripe” or “Payment Processor” means any third-party service used to process payments, such as Stripe, Inc.

2. Eligibility & Registration

  1. Age Requirement. You must be at least 13 years old to use the Site. If you are between 13 and the age of majority (typically 18 in the U.S.), you represent and warrant that you have your parent's or guardian's permission to use the Site.
  2. Account Creation. To purchase Apps or otherwise access account-protected areas of the Site, you must register for an Account by providing accurate, current, and complete information.
  3. Credentials. You are responsible for safeguarding your password and any other credentials. You agree to notify us immediately if you suspect any unauthorized use of your Account.
  4. Pseudonyms Permitted. You may use a pseudonym; no government-issued ID or identity verification is required.
  5. Account Deletion. You may delete your Account at any time via your Account settings. Upon deletion, your access to any purchased Apps or data stored on the Site will cease.

3. Purchase & Payment Terms

  1. One-Time Purchases. All Apps are sold via one-time Purchase only. The Site does not support subscriptions, recurring billing, or in-App purchases.
  2. Pricing & Taxes. All prices are quoted in U.S. Dollars (USD). Unless explicitly stated, prices do not include sales, use, VAT, or other taxes. You are responsible for any taxes applicable to your Purchase.
  3. Payment Processing. Payments are processed by third-party Payment Processors (e.g., Stripe). We do not collect, process, or store your full payment card data. All Payment Processor terms (including refund or dispute resolution policies) apply in addition to these Terms.
  4. No Refunds. Except as required by law, all Purchases are final and non-refundable. If you experience a technical issue with an App, contact our support team; we may, at our discretion, offer remedies such as credits or replacements.

4. License Grant & Restrictions

  1. License Grant. Upon successful Purchase, Sunstead grants you a limited, non-exclusive, non-transferable license to download and use the App solely for your personal or internal business purposes, in object code form, subject to these Terms and any additional license terms presented at the time of Purchase.
  2. Restrictions. You shall not, and shall not permit any third party to:
    • Copy, distribute, sublicense, rent, lease, loan, or otherwise transfer the App;
    • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code;
    • Remove, alter, or obscure any proprietary notices or labels in the App;
    • Use the App to develop a competing product or service.

5. Intellectual Property

  1. Ownership. All intellectual property rights in the Site and Apps (including trademarks, logos, text, graphics, software, and other materials) are owned by Sunstead or its licensors.
  2. Feedback. If you submit suggestions or feedback regarding the Site or Apps, you grant Sunstead a perpetual, irrevocable, royalty-free, sublicensable, worldwide right to use and incorporate that feedback without obligation to you.

6. Acceptable Use & Prohibited Conduct

You agree not to use the Site to:

  • Violate any applicable law or regulation;
  • Impersonate any person or entity, or falsely state an affiliation with any person or entity;
  • Attempt unauthorized access to any systems, data, or networks;
  • Transmit malware, spam, or other harmful code;
  • Interfere with or disrupt the integrity or performance of the Site.

7. Cookies & Data Collection

  1. Cookies. We use cookies and similar technologies for essential functions (e.g., session management, authentication).
  2. Privacy Policy. Our Privacy Policy explains how we collect, use, and disclose personal information. By using the Site, you consent to our data practices as described there.

8. No User-Generated Content

The Site does not currently allow users to post or upload Content.

  • If, in the future, user-generated Content is permitted, additional terms will apply, including license grants from users to Sunstead and a content moderation policy.

9. Disclaimers

  1. “AS IS.” The Site and all Apps are provided “as is” and “as available,” without warranties of any kind, express or implied.
  2. No Warranty. Sunstead disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or secure operation.

10. Limitation of Liability

  1. To the maximum extent permitted by law, Sunstead and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or relating to these Terms or your use of the Site or Apps, even if we've been advised of the possibility of such damages.
  2. In no event shall Sunstead's total aggregate liability exceed the amount you paid us for the App or service in the past twelve (12) months.

11. Indemnification

You agree to defend, indemnify, and hold harmless Sunstead and its affiliates from any claims, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of:

  • Your violation of these Terms;
  • Your use of the Site or Apps in violation of any law;
  • Your infringement of any third-party rights.

12. Termination

  1. By You. You may terminate your Account at any time via your Account settings.
  2. By Sunstead. We may suspend or terminate your access for any reason, including violation of these Terms, without notice or liability.
  3. Effect of Termination. Upon termination, your license to use any purchased App will immediately cease.

13. Dispute Resolution; Arbitration; Class Waiver

  1. Informal Resolution. First, you and Sunstead agree to attempt to resolve any dispute informally by contacting us at support@sunstead.net.
  2. Arbitration. If informal resolution fails, any dispute shall be submitted to binding arbitration under the American Arbitration Association's rules, conducted in Virginia.
  3. Class Action Waiver. You and Sunstead both agree to bring claims only on an individual basis, not in a class, consolidated, or representative action.

14. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or via the Site. Continued use after notice constitutes acceptance of the updated Terms.

15. Governing Law & Venue

These Terms and any disputes arising out of them are governed by the laws of the Commonwealth of Virginia, without regard to conflicts-of-law principles. Exclusive venue and jurisdiction shall be in the state and federal courts located in Virginia.

16. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any ordering documents, constitute the entire agreement between you and Sunstead regarding the Site and Apps, superseding all prior or contemporaneous communications.
